VERITAS Software Corp. (VRTS) is an independent supplier of data availability software products that offer continuous data availability and protection to its customers. The company's products address the need for companies to access their critical data 24 hours a day, and allow for continuous productivity for all computing environments, including storage area networks. VERITAS' products provide protection against data loss and file corruption, rapid recovery after disk or computer system failure, the ability to process large files efficiently, and the ability to manage and back up data distributed on large networks of systems without interrupting users. Data protection products ensure reliable information backup and restore. Products include Veritas NetBackup, Veritas Storage Migrator, and Veritas Global Data Manager, among others. File and volume management products improve the manageability and performance of business critical data. Products include Veritas Volume Manager, Veritas File System and Veritas Foundation Suite. Clustering and replication products make businessess' key applications more available in complex computing environments. Products include Veritas Cluster Server and Veritas File Replicator. Application solutions are integrated solutions to help businesses optimize their storage management strategies. Products include Veritas Database Editions for Oracle and Sybase and Veritas File Server Edition. Storage Area networking products are designed to reduce the cost and complexity of managing expanding networked storage environments. Products include Veritas SANPoint Control and Veritas SANPoint Direct. The company has key OEM relationships with Hewlett-Packard, Sun Microsystems, IBM and Microsoft. Veritas has also integrated its solutions in a range of product suites optimized for specific applications including Oracle, Sybase, NFS, SAP and web-based environments. In Nov. 2000, Veritas, Seagate Technology, Inc. and a private investor group (SAC) completed a leveraged buyout of Seagate whereby Seagate sold all its operating assets to SAC. Seagate was then merged into a wholly owned subsidiary of the company, and subsequently renamed VERITAS Software Technology Corp. In the transaction, Seagate shareholders received about 109.3 million VRTS shares in return for approximately 128 million shares of VRTS common stock and equity in Gadzoox Networks, Inc. held by Seagate. INCORPORATED in Delaware Jan. 6, 1997, and on Apr. 25, 1997, succeeded a California concern of the same name incorporated May 4, 1982.
