PanAmSat Corp. (SPOT) provides global video and data broadcasting services via satellite. SPOT builds, owns and operates satellite-based networks that deliver entertainment and information to cable television systems, television broadcast affiliates, direct-to-home satellite television operators (DTH), Internet Service Providers (ISPs), telecommunications companies and other corporations. With 20 satellites at 2000, and the expected addition of two more by the end of 2001, SPOT says it now has the world's largest geostationary satellite network, and is one of only three companies capable of servicing a global footprint via its own fleet. SPOT's network is capable of reaching over 98% of the world's population. The company uses its satellite-based network to provide video program distribution, video contribution of news and special events, and VSAT (very small aperture terminal) data networks. In 2000, the company's fleet delivered more than 100 of the leading cable television channels to over 11,000 cable headends and 65 million cable households in the U.S.; and provided the platform for six DTH service providers worldwide. SPOT's full-time video distribution service customers include AOL TimeWarner, AT&T Broadband, the BBC, China Central Television, Cisneros Television Group, Disney, Doordarshan (India), ESPN, Fox, Sony and Viacom. In addition to DIRECTV Latin America, the company provides high-power Ku-band services to DTH providers MultiChoice, Pacific Digital Media (Taiwan), Sky Latin America, South African Broadcasting Corp./Sentech and TVB (Australia). SPOT's carrier service customers include ImpSat, Sprint, Telstra and WorldCom, and its private business services customers include the Associated Press, Hughes Network Systems, IBM, Reuters and Wal-Mart. At 2000 and 1999, SPOT's revenues were $1.024 billion and $810.6 million respectively. These revenues were derived from Video Services (69%, 72%), Network Services (26%, 23%), and Other Services (5%, 5%). INCORPORATED in Delaware Sept. 18, 1996 as Magellan International Corp., a wholly owned subsidiary of Hughes Communications, Inc. (HCI; indirectly wholly owned by General Motors Corp.); name changed to PanAmSat Corp. May 1997. May 16, 1997, acquired PanAmSat Corp. (Old PanAmSat; subsequently renamed PanAmSat Intl. Systems, Inc.), an operator of several satellites with revenues of $246,942,586 in 1996, for apx. $1,500,000 in cash and apx. 42,500,000 Common shares; and the commercial satellite business of HCI (Galaxy Business), an operator of 10 satellites with revenues of $482,770,000 in 1996, for 106,622,807 Common shares. The company also assumed certain debt of Old PanAmSat. Old PanAmSat Corp. was incorporated in Delaware Sept. 21, 1994, as PASAT Corp. On Mar. 2, 1995, Old PanAmSat Corp. merged PanAmSat, L.P. (predecessor; formed in Delaware Oct. 29, 1992) for 49,505,050 Cl. A Common shares, 50,000,000 Cl. B Common shares, and 187,400 Common shares.
